Beneficial owner
the real person behind an LLC-held property
A beneficial owner is the actual person who ultimately owns or controls a property, behind whatever LLC, trust, or shell entity holds the deed. In NYC commercial real estate the deed almost always names an LLC. The beneficial owner is the human behind that LLC who really profits from the building and makes the decisions.
What it means in NYC
Most NYC commercial buildings sit inside LLCs, often stacked a few layers deep, set up so the public record shows a company instead of a person. The registered agent you can look up is usually just a contact for legal notices, not the owner.
There's no public list in New York that names the human behind a commercial LLC. You have to rebuild that link yourself by working across deeds, NY Department of State officer filings, HPD registrations, and a few other records until they point at one person.
How DeedGraph uses it
Turning the LLC on a deed toward its beneficial owner is what DeedGraph is built to do. It follows the entity through public-record joins, shows the source behind each step, and names a person only when the record supports the link. When the trail stops at the entity, it says so plainly.
Common questions
- What's the difference between a beneficial owner and a registered agent?
- The registered agent just receives legal notices for the LLC, and it's often a law firm or a service company. The beneficial owner is the person who actually owns and runs the property behind the LLC. They're rarely the same, and the agent almost never tells you who the owner is.
- Is beneficial ownership public record in NYC?
- Not directly. The deed names the LLC, and no public registry lists the person behind an NYC commercial LLC. You reconstruct it by joining several public records together.
